Terms of Service
Please read these Terms of Service carefully before engaging the services of Momentum Digital Solutions, LLC. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.
1. Provision of Services
Momentum Digital Solutions, LLC agrees to provide the client with digital marketing services as detailed in a mutually agreed-upon Statement of Work (SOW). The SOW will specify the scope of work, deliverables, timelines, and fees. Any changes to the SOW must be agreed upon in writing by both parties.
2. Payment Terms
The client agrees to pay Momentum Digital Solutions, LLC the fees as specified in the SOW. Typically, services are billed on a recurring monthly basis and are due upon receipt of the invoice. Ad spend for platforms like Google Ads or Meta is a separate cost and is the direct responsibility of the client, unless otherwise specified. Failure to make timely payments may result in the suspension of services.
3. Timelines and Deliverables
Momentum Digital Solutions, LLC will make every reasonable effort to meet the project timelines outlined in the SOW. However, these timelines are estimates and may be affected by factors beyond our control, including delays in client feedback or approvals. The client acknowledges that delays on their part may impact the overall project schedule.
4. Confidentiality
Both Momentum Digital Solutions, LLC and the client agree to keep all confidential information, including business strategies, data, and proprietary processes, private and not to disclose it to any third party without prior written consent. This clause survives the termination of our agreement.
5. Legal Disclaimers and Limitation of Liability
While Momentum Digital Solutions, LLC strives for excellence, we do not guarantee specific results or outcomes from our digital marketing services. The digital landscape is dynamic, and performance can be influenced by numerous external factors. In no event shall Momentum Digital Solutions, LLC be liable for any lost profits or consequential damages. Our total liability is limited to the total amount paid by the client for the services in the preceding three months.
6. Termination
Either party may terminate the agreement with 30 days' written notice. Upon termination, the client is obligated to pay for all work completed up to the effective termination date. Momentum Digital Solutions, LLC will provide all necessary assistance to ensure a smooth handover of all assets and accounts.
